Terms Of Use

These Terms of Use (Terms) govern the relationship between you and ZQR Corporation (ZQR) and apply to your use of the ZQR website.

1. Acceptance of Terms

These Terms are effective from September 15, 2023. We may from time to time make changes to these Terms, without the need of prior notice, by uploading the updated Terms on this site. It is your responsibility to check for updates on these Terms. We encourage you to read the Terms each time you visit the site or enter into a transaction with your counterparty through the platform.

This agreement pertains solely to the use of the website. You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. If you do not agree with all of these Terms of Use, then you are expressly prohibited from using the site and you must discontinue use immediately.

2. Overview of ZQR platform

ZQR (pronounced to rhyme with "secure") is a document exchange platform that is both B-to-C and C-to-C. It is different from email in that it is a closed system, allowing only the enterprise and individuals to communicate, and involves high-security standards for joining the system and sending messages.

ZQR as a platform involves:

  • ZQR app. The app is made available by us via the respective Android and Apple mobile platforms (i.e., Google Play and Apple Store). It is mainly used by individuals.

    The ZQR app allows you to transact, enter into contracts and agreements, and avail of the services of your bank or counterparty at your convenience without the need of the traditional face-to-face interaction with the bank or counterparty personnel. The ZQR app uses cloud technology and data encryption to ensure the security of information, documents, and transactions processed through the ZQR platform.

  • ZQR Web (ongoing as of September 15, 2023). The web version of the app is called “ZQR Web”. Only registered ZQR accounts are able to access ZQR Web. Individuals are able to review their documents via the web version of the app and when it’s time to sign, the OTP will still come from the app.

  • ZQR Document Direct. ZQR Document Direct allows users of documents to receive these directly from those that prepared them. It removes the opportunity for tampering and forgeries. Ex: The preparer of the document i.e. a university uploads the Transcript of Records of the requesting alumna to the platform. This Transcript may be accessed thru the Document Direct section of the website by entering the correct Access PINs.​

 
3. Availment of services or products​
ZQR Account
  1. You may need to create an account to use certain features of the Website i.e. ZQR Web. You are responsible for maintaining the security of your account credentials and all activities that occur under your account.

  2. In order to use ZQR Web and be able to login via the web browser, you must first download the ZQR app and register for a ZQR account by submitting certain personal information such as your full name (as appearing in your bank account information, government ID, or any other document considered as competent evidence of identity under any applicable law), mobile number, e-mail address, and date of birth. You will also be required to register a Philippine-issued debit or credit card. By providing your card information and authorizing a reversible payment, you acknowledge, confirm, and represent that you are the same person to whom the debit/credit card was issued.   3. We have the option but not the obligation to verify the identity of the person supplying the above information and we reserve the right to decline your registration for a ZQR account.

  4. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  5. ZQR reserves the right to suspend or terminate your account at any time for violations of these Terms or for any other reason deemed necessary by ZQR.

4. Content and use of the website
  1. You are solely responsible for all content and information you upload, post, transmit, or otherwise make available on or through the ZQR platform. You must not upload or share any content that is illegal, infringes upon any intellectual property rights, or violates applicable laws or regulations.

  2. ZQR reserves the right to remove or disable access to any user that violates these Terms.

  3. You agree not to use the platform for any unauthorized or illegal purposes, including but not limited to spamming, hacking, or transmitting viruses.

  1. ZQR retains all rights, title, and interest in and to the Platform, including all intellectual property rights.

  2. You may not use the ZQR’s name, logo, or trademarks without prior written permission from ZQR.

 
7. Third-Party Links

The website may contain links to third-party websites or services. ZQR is not responsible for the content or actions of these third parties, and your use of such third-party websites or services is at your own risk.

8. Disclaimer of Warranties

The Website is provided "as is" and "as available" without any warranties of any kind, either express or implied. ZQR does not warrant that the Website will be uninterrupted, error-free, or free from viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, ZQR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Service; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service; or (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Site, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not ZQR has been informed of the possibility of such damage.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Philippines. You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be filed exclusively in the courts of the Philippines.

11. Changes to Terms

ZQR reserves the right to modify or revise these Terms at any time. Any changes will be effective upon posting the revised Terms on the Service. You are responsible for regularly reviewing these Terms. Your continued use of the Service after any changes to the Terms constitutes your acceptance of those changes.
